Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Arbor Collective LLC (“Arbor Collective,” “AstroSearch,” “we,” “us,” or “our”). They govern your access to and use of the AstroSearch websites, applications, APIs, agent integrations, data, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into this agreement. If you use the Services for an organization, you represent that you have authority to bind it. You are responsible for accurate account information, safeguarding your credentials, and activity under your account.

2. The Services

AstroSearch helps businesses and their authorized agents search, organize, enrich, and export business and professional contact information. Features, data coverage, limits, and availability may change as the Services evolve. Search results can be incomplete, outdated, or inaccurate and should be independently verified before you rely on them.

3. Subscriptions, billing, refunds, and cancellation

A monthly subscription renews automatically each month at the price shown when you subscribe unless you cancel it before the next billing date. You authorize us and our payment processor to charge the payment method associated with your account for recurring fees and applicable taxes.

You may cancel a subscription at any time through the billing controls in your AstroSearch account or by emailing support@astrosearch.io. Cancellation takes effect at the end of the then-current paid monthly billing period, and you retain paid access until that date. Cancellation stops future renewals and does not generate a cancellation fee.

Except where required by law, payments are non-refundable and we do not provide prorated refunds or credits for unused time, credits, searches, or features. We will correct duplicate or erroneous charges. Contact support@astrosearch.io with a billing or refund dispute. Any approved refund is returned to the original payment method and typically appears within 5–10 business days, depending on the financial institution.

The Services are delivered digitally after account activation. Nothing is shipped, and physical return policies do not apply.

4. Acceptable use

You may use the Services only for lawful business purposes. You may not use the Services to:

• violate privacy, data protection, marketing, sanctions, export-control, or other applicable laws;
• harass, threaten, discriminate against, deceive, or unlawfully surveil any person;
• send unlawful or unsolicited communications or ignore applicable opt-out requests;
• seek sensitive personal data that the Services are not designed to provide;
• circumvent access controls, usage limits, or security measures;
• scrape, resell, sublicense, or redistribute the Services or data except as expressly permitted; or
• interfere with the Services or use them to develop a competing data product.

You are responsible for determining whether your collection and use of any result is lawful, providing required notices, honoring individual rights, and maintaining your own suppression and do-not-contact lists.

5. Your content and data

You retain your rights in information you submit to the Services. You give us a limited, worldwide license to host, copy, process, and transmit that information as needed to provide, secure, support, and improve the Services. You represent that you have the rights and permissions needed to provide it to us.

6. AstroSearch property

The Services, including our software, design, documentation, trademarks, and original content, are owned by Arbor Collective or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your account term; they do not transfer ownership of the Services or third-party data.

7. Third-party services

The Services may rely on or link to third-party services, integrations, and data providers. Their services are governed by their own terms and privacy practices. We are not responsible for third-party services or for changes to their availability, accuracy, or functionality.

8. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay amounts due, or use the Services in a way that may harm us, our providers, or others. Provisions that by their nature should survive termination will remain in effect.

9. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. The Services do not provide legal or compliance advice, and we do not guarantee any business, marketing, or sales outcome.

10. Limitation of liability

To the maximum extent permitted by law, Arbor Collective and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Our aggregate liability arising from the Services will not exceed the amount you paid us for the Services during the three months before the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Arbor Collective and its affiliates from claims, damages, and expenses arising from your data, your use of the Services, your violation of these Terms or applicable law, or your violation of another person’s rights.

12. Changes

We may update these Terms as the Services or applicable requirements change. We will post the updated Terms here and update the date above. If a change is material, we will provide additional notice when required by law. Continued use after the effective date of updated Terms constitutes acceptance of those Terms.
